Terms of Sale

ARTICLE 1 — PURPOSE

These terms of sale (the “Terms of Sale”) apply to any order placed on Festime by a User (the “Buyer”): Fest-PRO and Fest-MAX creator subscriptions, competition submission fees, festival subscriptions, Festime+ offers, advertising products, e-mail campaigns and film promotions. They supplement the Terms of Use. ARTICLE 2 — OFFERS AND PRICES

Offers, their benefits and their prices are displayed on the Pricing page and during the ordering process. They are configurable by Festime and may change; each order retains a snapshot of the price and benefits accepted at the time of purchase.

Prices are stated in the displayed currency (in principle the US dollar, USD). Bank or currency conversion fees may be charged by the Buyer’s institution.

ARTICLE 3 — ORDER AND PAYMENT

The order is formed upon acceptance of these Terms of Sale and payment. Payment is made through payment service providers: Stripe (payment pages hosted by Stripe) and PayPal. Festime neither collects nor stores payment card numbers. The order is confirmed only upon receipt of the provider’s confirmation; if payment fails, no service is owed.

An invoice and, where applicable, a credit note are issued electronically with continuous numbering and made available in the Buyer’s area; the Buyer may complete a billing profile (company name, address, tax identifier).

ARTICLE 4 — FEST-PRO AND FEST-MAX CREATOR SUBSCRIPTIONS

Fest-PRO and Fest-MAX subscriptions are taken out for a period of one year from payment. By way of indication, they are offered at 25 USD and 50 USD per year and entitle the holder to discounts on submission fees and promotion, an extended portfolio and eligibility for Festime+, as detailed at the time of ordering.

There is no automatic renewal and no recurring charge: renewal is a new order, available 30 days before expiry; reminders may be sent before the end of the period. The Buyer may schedule the end of their subscription at expiry; benefits remain available until that date.

Upgrading to a higher offer during the period gives rise to payment of a difference calculated pro rata to the remaining term, shown before confirmation. Downgrading to a lower offer takes effect at the next expiry date.

ARTICLE 5 — SUBMISSION FEES AND ROLE AS PAYMENT INTERMEDIARY

Submission fees are freely set by each Festival for each of its competitions (with, where applicable, deadline-based fees, subscription discounts or promotional codes). They remunerate the Festival for reviewing the Submission, and are not a guarantee of selection.

Festime collects these fees in the name and on behalf of the Festival, acting as an intermediary, through its payment providers. ARTICLE 6 — PAYOUTS TO FESTIVALS

For each Festival and each currency, Festime issues a periodic statement (in principle monthly) showing the fees collected, refunds, lost disputes, the commission and the net amount to be paid out. A negative balance is carried forward to the next statement. Payouts are made by bank transfer to the account declared by the Festival, whose reference is recorded. The Festival is solely responsible for its tax and reporting obligations in respect of the amounts received, and for complying with its commitments towards Creators (review of films, communication of results, awarding of prizes).

ARTICLE 7 — FESTIVAL SUBSCRIPTIONS, ADVERTISING, CAMPAIGNS AND PROMOTIONS

Festival subscriptions are annual and follow the same renewal principles as Article 4. Advertising products (placements, featuring of festivals or films) and e-mail campaigns are ordered for a fixed period or volume, after editorial approval by Festime. Festime may refuse any advertisement or campaign that does not comply with the Community Guidelines or the law; if refused before going live, the amount paid is refunded.

E-mail campaigns are sent only to Users who have consented to receive commercial communications; each message contains an unsubscribe link. The statistics provided (sends, opens, clicks) are indicative and do not constitute a commitment as to results.

ARTICLE 8 — FESTIME+

Festime+ enables selected films to be distributed in an online catalogue. Making a film available on Festime+ requires a separate distribution agreement, accepted by the rights holder, which specifies the territories, the term, the share due to the Creator and the arrangements for revenue statements. Eligibility requires an active Fest-PRO or Fest-MAX subscription. [À COMPLÉTER / TO BE COMPLETED: viewer access conditions for Festime+ (free, subscription or pay-per-view) and remuneration rules.]

ARTICLE 9 — WITHDRAWAL RIGHT

Where the Buyer is a consumer benefiting from a withdrawal right (for example 14 days for a consumer resident in the European Union, or under Tunisian Law No. 2000-83 of 9 August 2000 on electronic exchanges and commerce), this period runs from the conclusion of the contract. By requesting immediate performance of a service (transmission of a Submission to the Festival, activation of a subscription or promotion), the Buyer acknowledges that the withdrawal right can no longer be exercised for a fully performed service and that a service already begun is payable pro rata. Buyers acting in a professional capacity (festivals, production companies) do not benefit from the withdrawal right.

ARTICLE 10 — REFUNDS

Submission fees: a refund request may be made from the “Refund Requests” area, stating the reason. It is handled by Festime’s Finance team, after consulting the Festival where necessary. A full or partial refund is granted in particular in the event of cancellation of the competition or festival, double payment, a technical error attributable to the Platform, or where the Festival’s rules so provide. Unless otherwise provided by the rules or by law, fees are not refundable after the Submission has been transmitted where the film is not selected, is deemed ineligible under the accepted rules, or where the Creator withdraws the Submission.

Subscriptions: save where a withdrawal right applies or in the event of a breach by Festime, the current period is not refundable; the Buyer may schedule the end of the subscription at expiry.

Advertising, campaigns and promotions: full refund if refused before going live; no refund for the portion already delivered, save in the event of a failure by Festime.

Processing: an approved refund is made to the original payment method by the relevant provider and gives rise to the issuance of a credit note. The time taken to receive it depends on the provider and the Buyer’s bank. The amount refunded may not exceed the refundable balance of the order. ARTICLE 11 — PAYMENT DISPUTES AND CLAIMS

Before initiating any dispute with their bank or with PayPal, the Buyer is invited to contact [À COMPLÉTER / TO BE COMPLETED: complaints e-mail address] in order to seek a solution. In the event of a dispute (chargeback), Festime provides the provider with the evidence in its possession (order, invoice, execution log). Services linked to a disputed order may be suspended while the dispute is being examined. A lost dispute concerning submission fees is charged against the payout of the Festival concerned.

Disputes between a Creator and a Festival relating to the review of a Submission, selection or prizes fall within their own relationship; Festime may offer amicable mediation without guaranteeing its outcome.

ARTICLE 12 — LIABILITY, GOVERNING LAW AND COMPLAINTS
